Republic Bank (Ghana) PLC has convened its 35th Annual General Meeting (AGM) for Thursday, April 23, 2026, where shareholders will vote on a dividend declaration, consider a new board appointment and decide on the re-election of four existing directors.
The meeting will be held at 1:00 pm at Republic Court, Independence Avenue, Ridge Roundabout, Accra, with simultaneous virtual access available to shareholders who are unable to attend in person.
On the agenda is the adoption of the bank’s audited financial statements for the year ended December 31, 2025, alongside the directors’ and auditors’ reports. A dividend will be put to shareholders for declaration subject to regulatory approval, though the proposed amount has not been disclosed in the AGM notice.
The meeting will also consider the election of Sena Dake as a new board director, alongside the re-election by rotation of four sitting directors: Parasram Salickram, Prof. Vera Ogeh Lassey Fiador, Jonathan Prince Cann, and Joseph Yaw Asumang. Shareholders will additionally ratify the auditors’ remuneration for 2025 and authorise the board to set audit fees for 2026.
The bank’s audited financial statements for 2025 were published in The Daily Graphic and the Business and Financial Times on February 27, and are available on the company’s investor relations page at www.republicghana.com/investor-relations.
Shareholders opting for virtual participation will receive unique token numbers by email or SMS from April 9 and can access the virtual meeting portal at https://republicbankghagm.com. Proxy forms are available through the company’s registrar, Universal Merchant Bank Limited, at its Airport City office or via [email protected]. Completed proxies must be submitted before the meeting commences.
Shareholders who have not updated their contact details with the registrar are urged to do so promptly to ensure they receive their access tokens ahead of the April 23 date.
